GE HealthCare to Acquire Sofie Biosciences

The transaction establishes GE HealthCare’s U.S. footprint in the time-critical “final mile” of PET radiopharmaceutical supply.

GE HealthCare is acquiring Sofie Biosciences, a United States contract manufacturing organization (CMO) for positron emission tomography (PET) radiopharmaceuticals.

The transaction, in which GE buys out Sofie from Trilantic North America, has a cash purchase price of $945 million.

GE HealthCare Goes the ‘Final Mile’

For GE HealthCare, the company says this establishes its U.S. footprint in the time-critical “final mile” of PET radiopharmaceutical supply. GE HealthCare already has a U.S. network of 15 CMO sites, operating 21 cyclotrons, plus a theranostics-focused CDMO site.

PET radiopharmaceuticals’ use in precision medicine involves visualizing metabolic and molecular activity. Increasingly, they are used to deliver targeted therapies in a wide range of disease areas.

Fluorine-18 (F18) labeled PET radiopharmaceuticals have a 110-minute half-life. Therefore, PET CMOs have a crucial role in ensuring timely, reliable patient access.

What Sofie Biosciences Brings to Deal

Currently, Sofie Biosciences has an F18 Fibroblast Activated Protein Inhibitor (FAPI) asset, FAPI-74, in Phase III development.

“The PET radiopharmaceutical market is expanding rapidly,” Kevin O’Neill, President and CEO of GE HealthCare’s Pharmaceutical Diagnostics (PDx) segment, said. “As part of GE HealthCare, Sofie Biosciences is expected to grow in the low double digits. [This] enables us to participate across the radiopharmaceutical value stream [and meet] customer demand.”

“Joining GE HealthCare marks an exciting step in our journey,” Patrick Phelps, Sofie Biosciences Co-Founder, President, and CEO, said. “We have significantly expanded our capabilities and scale. We share GE HealthCare’s ambition to improve patient outcomes by delivering on the promise of radiopharmaceuticals.”

The acquisition should close sometime in the first half of 2027 pending closing conditions, including regulatory approvals. At that time, Sofie Biosciences will become part of GE HealthCare’s PDx segment.
